Public Content

Some portions of the Shoprizer.com allow you to contribute ratings, comments, reviews and other content to the site. This content is displayed publicly unless you register and change your default configuration. The reviews and comments you publish may be displayed with your member name. If other members choose to, they can receive email notifications of your new public content or publish their own comments to your reviews.

We may use the public content to develop aggregate ratings, personalize site views and market products. We may use your public content to personalize site views and identify or feature popular members. For example, we may promote most popular or highest-earning reviews and members. E-mail Communications

Shoprizer.com, and other members of our corporate family who provide us with joint services, will sometimes place anonymous cookies or web beacons on your computer when you visit our sites or our co-branded sites. We use these cookies and web beacons to recognize returning users, measure traffic and activity on the sites, monitor and improve our services and protect against fraud.

Security

Shoprizer.com together with its technology partners uses physical, electronic and administrative safeguards, including advanced firewall and password protection for our databases, designed to protect the security of information. The Order Form pages on our Web site are served through a secure HTTPS connection using industry standard 128-bit SSL v2/v3 encryption.

We restrict access to your personal information to employees that need to know that information in order to operate, develop or improve our services. However, as you probably know, third parties may unlawfully intercept or access transmissions or private communications. General

This User Agreement (or "Agreement") is a legal agreement between you and Shoprizer.com, a ST Telecom Inc. company, referred as ( "Shoprizer.com" or "Website" or "us" ) governing your participation on the Shoprize.com site. Each time you use the Service provided by Shoprizer.com, you acknowledge that you have read and agree to be bound by the Agreement. If you do not agree to be bound by the Agreement, you may not use the Service by Shoprizer.com.

Shoprizer.com is a Venue.

Shoprizer.com is only a Venue. Shoprizer.com provides a number of different shopping information services to assist you in selecting products and conditional offers from sellers, brokers or lenders. The Website acts as an online marketplace for you to find and transact with other users, members, buyers or sellers (the "Users") showing products or services and conditional purchasing offers. Shoprizer.com is not a seller, broker or lender. Shoprizer.com is not a party to any transaction you may make with a seller, broker or lender via the Website.

Shoprizer.com is not responsible or liable for any products, services, information or other materials displayed, purchased, or obtained by you from the Website. Nothing on the Website contains an offer, promise or otherwise from Shoprizer.com to make a specific sale of any product or service.

Shoprizer.com does not endorse, warrant or guarantee the products or services of any seller, including, without limitations, any price, terms and conditions.

Shoprizer.com is not liable for any delays, inaccuracies, errors or omissions with respect to the information or the transmission or delivery of all or any part thereof, for any damage arising there from or occasioned thereby, or for the results obtained from the use of the information. Shoprizer.com is not liable for any acts or omission of acts of any seller on the Website. You assume the entire risk as to the accuracy, adequacy, completeness, currency, validity and quality of any information relating to the Services.

Acceptable Use of the Web Site.

Your use of the Service must be lawful and consistent with the security and reliability of the Service and the World Wide Web.

In addition, the following rules apply to your use of the Service:

  • You certify to Shoprizer.com that you are at least 18 years of age.
  • You assume full responsibility for the use of the Service by any minors.
  • You must abide by all of the-then current terms of Shoprizer.com Privacy Policy as set forth on the Website and as updated from time to time by Shoprizer.com in its sole discretion.. Your use of the Service is subject to all applicable local, state, national and international laws and regulations. Your conduct is subject to Internet regulations, policies and procedures.
  • You must obtain and maintain any equipment or ancillary services needed to connect to, access or otherwise use the Service, including, without limitation, modems, hardware, software, and long distance and local telephone service.   • In your capacity as a seler you are solely responsible for the content of your transmissions and the products you sell through the Service. You acknowledge and agree that Shoprizer.com does not endorse the actions, the contents of communications, or the products of the Users.
  • In your capacity as a seller, if applicable, you will be solely responsible for all aspects of transaction order processing and fulfillment, including but not limited to processing credit card information, authorization and fraud detection, shipping and handling, buyer support and service inquiries. You must forward all feedback you receive regarding the Service to Shoprizer.com when acting as a seller.

Registration

Certain features and services on the Shoprizer.com require that you register on the site. You agree as a condition of use and registration that we may contact you to inform you of changes to this Agreement or describe new services available on the Shoprizer.com. You are responsible for safeguarding the password that you use to access any secure areas of the Shoprizer.com. You agree not to disclose your password to any third party. You agree to take sole responsibility for any activities or actions under your password, whether or not you have authorized such activities or actions. You will immediately notify Shoprizer.com of any unauthorized use of your password.

Content

Shoprizer.com provides a number of different services to assist you in selecting products and conditional offers from sellers. Shoprizer.com provides information regarding products and third-party merchants, and links to third-party merchants that are selling listed products. Shoprizer.com also provides you the opportunity to buy products and pay for them using our shopping Cart. If there is a "Join Group" or "Buy it Now " button displayed next to a merchant product offer, you can place the product in your Cart and proceed to checkout. At checkout you can pay via credit card or through PayPal. If we need any additional information from you for the transaction, you will be asked to fill in the information we request, all of which will be subject to our Privacy Policy. Once the objectives of the assigned purchasing group is successfully completed during the validity time frame defined for the conditional purchase offer, payment is received and we forward the payment and your information to the selected merchant who will fulfill your order and process the purchase transaction. If the objectives of the assigned purchasing group is NOT successfully completed during the validity time frame defined for the conditional purchase offer, Shoprizer.com will notify the Buyers about the best possible terms and conditions achieved for that purchasing group and will ask the Buyer’s permission to process or not the purchase under the new terms or Shoprizer.com can decide to cancel the purchasing group and notify the Buyers about that decision.

Shoprizer.com reserve the right to cancel any conditional purchasing group at any time by any reason without previous notification.

Shoprizer.com is paid by merchants or other third parties to list products or advertise on the Shoprizer.com. The products listed on the Shoprizer.com are sold by third-party merchants, not by Shoprizer.com.

Even though Shoprizer.com offers a "Join Group" or "Buy it Now " button for use with our Shopping Cart, you acknowledge that Shoprizer.com does not sell, resell or license any products listed on the Shoprizer.com, nor is Shoprizer.com acting as an agent of sale. We are merely making it easier for you to buy from merchants who choose to offer goods using the Shoprizer.com methodology. You acknowledge that Shoprizer.com disclaims any responsibility for or liability related to such products (see Disclaimer of Warranties below). You agree to direct any question, complaint or claim 1) about merchants (for example, about their products, customer service for their products or delivery) to the appropriate merchant or seller, and 2) about payments to the appropriate payment processor.

Shoprizer.com does not warrant that product descriptions, pricing, editorial commentary or any other content on the Shoprizer.com, regardless of its source, is accurate, complete, reliable or current. Shoprizer.com content is provided for informational purposes only and does not constitute an endorsement by Shoprizer.com of any product, service or merchant. You should not rely on such information in situations where its inaccuracy would cause you to suffer any loss (see Disclaimer of Warranties and Liability Limits below). Shoprizer.com assumes no liability for inaccuracy or incompleteness in its search results, editorial content, user ratings (e.g., user merchant rating or user product rating) or other content on the Shoprizer.com.

Consumer reviews and ratings on the Shoprizer.com are from our members who have elected to post a review on the Shoprizer.com. As such, these reviews and ratings are informative for those wishing to use them, but they do not guarantee any level of performance by a merchant or other third party in any given transaction.

Participating merchants and other third parties may pay Shoprizer.com to be presented on the Shoprizer.com or to have their product or service offerings placed higher in our search results and may also purchase research from Shoprizer.com, but in no event do such payments affect the reviews or ratings given to any merchant by participating members.

You may download, view and print a single copy of any content, solely for your personal and non-commercial purposes, subject to the restrictions set forth in this Agreement. All right, title and interest in and to the Shoprizer.com and any content appearing on the Shoprizer.com will remain the exclusive property of Shoprizer.com and its licensors. Except as expressly permitted in this Agreement, you may not reproduce, modify or prepare derivative works based upon, distribute, sell, transfer, publicly display, publicly perform, transmit or otherwise use the Shoprizer.com or any other content appearing on the Shoprizer.com. You may not copy or modify the HTML code used to generate web pages on the Shoprizer.com. You may not use the Shoprizer.com, or any other content appearing on the Shoprizer.com, on or in connection with any other website for any purpose.

Privacy

By using the Shopping Cart, you are explicitly asking us or our affiliates to send your information, which may include personally identifiable information, to 1) merchants from you have indicated you want to buy a product or service or 2) merchants or other third parties you are explicitly notified about and consent to when using a specific service on the Shoprizer.com. Content Submission

By contributing or submitting any content to the Shoprizer.com, you warrant that you are the author and owner of the intellectual property rights thereto, and you grant Shoprizer.com a worldwide, perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from, sell and distribute, or incorporate such materials into any form, medium or technology, without compensation to you. In addition, you warrant that all "moral rights" that you may have in those materials have been voluntarily waived by you. None of the materials shall be subject to any obligation of confidence on the part of Shoprizer.com, its agents, subsidiaries, affiliates, co-brand partners or other partners and their respective directors, officers and employees. Shoprizer.com reserves the right to change or delete any content on the Shoprizer.com that Shoprizer.com deems, in its sole discretion, to violate the content guidelines or any other provision of this Agreement.

You agree that you shall not post any information:

  • that is known by you to be false, inaccurate or misleading;
  • that infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
  • that violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
  • that is or may reasonably be considered to be defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;
  • for which you were compensated or granted any consideration by any third party;
  • that includes any information that references other websites, addresses, email addresses, contact information or phone numbers;
  • or that contains any computer viruses, worms or other potentially damaging computer programs or files.

You retain all ownership rights to information, text, graphics or other materials you publish on the Shoprizer.com. However, we can reproduce, publish and distribute all or teaser portions of your content online and offline and permit others to do the same. You can edit or remove your content from the Shoprizer.com at any time; but if we have distributed your content to others, we may be unable to require them to make the same changes. Shoprizer.com's service marks/trademarks may not be used in connection with any product or service that is not provided by Shoprizer.com, in any matter that is likely to cause confusion among customers, or in any manner that disparages or discredits Shoprizer.com.

If you believe content on the Shoprizer.com infringes your copyright, you should send notice of copyright infringement to Shoprizer.com's Copyright Agent. Your notice must meet the requirements of the Digital Millennium Copyright Act (as required under 17 U.S.C. §512) by providing the following information:

  1. An identification of the copyrighted work claimed to have been infringed
  2. An identification of the material that you claim is infringing so that we may locate it on the site

Trademarks

Shoprizer.com is not in a position to arbitrate trademark disputes between the advertisers on the Shoprizer.com and trademark owners. Accordingly, we encourage trademark owners to resolve their disputes directly with the advertisers, particularly because the advertisers may have similar advertisements on other sites. Similarly, Shoprizer.com does not control and assumes no responsibility for content that appears on a third party's website that may be accessed via the Shoprizer.com, and trademark owners should contact third-party sites directly to resolve trademark disputes.

As a courtesy to federally registered trademark owners, however, we are willing to perform a limited investigation of reasonable complaints.

If you are an owner of a registered trademark (or represent an owner of a registered trademark) and have an objection to content corresponding to your trademark on the Shoprizer.com that is consistent with the foregoing, or if you believe that we have improperly used your registered trademark to promote the Shoprizer.com on a third-party website, please provide the following information:

Upon receipt of notice as described above, Shoprizer.com will confirm the existence of the federal registration of the trademark in question and will take whatever action, in its sole discretion, it deems appropriate, including removal of the challenged content from the Shoprizer.com. In the event that the challenged content has been provided to Shoprizer.com by a third party and in Shoprizer.com's sole discretion, we conclude that the content is identical to the registered mark and is used in connection with goods and/or services covered by the trademark owner's federal registration, Shoprizer.com will provide to notice to the third party prior to any removal of content. If prior to such removal, the third party demonstrates that it has its own trademark registration or approved trademark application covering the challenged content, Shoprizer.com will not remove the content.

Notwithstanding the foregoing, Shoprizer.com will comply as appropriate with the terms of any court order relating to the behavior of the challenged party identified in such court order.

Score Points

Your SCORE POINTS earned at Shoprizer.com are not transferable, are not redeemable for cash or credit, and have no cash or monetary value. Score Points are purely promotional in nature, are only for members and only part of the Service through the Website or as otherwise specifically designated and approved by Shoprizer, and do not constitute a property right or interest or confer any such right or interest to you. SCORE POINTS may be redeemed immediately or accrued over time, up to a maximum of 12 months. SCORE POINTS will expire on a rolling monthly basis if not redeemed within 12 months of being awarded, and Shoprizer has no obligation to notify you of any such expiration. Shoprizer may discontinue or modify the SCORE POINTS program, raise and lower the value of the SCORE POINTS , add and remove ways to earn or use SCORE POINTS, or revise the SCORE POINTS program terms and conditions at any time. All SCORE POINTS terminate upon any termination of your membership. Please see the SCORE POINTS Rules for additional terms applicable to acquiring and using SCORE POINTS. SCORE POINTS may only be redeemed at http://www.Shoprizer.com/ or as otherwise specifically designated and approved by Shoprizer, with all such uses being subject at all times to available inventory, all terms and conditions of any specific SCORE POINTS offer, and these Terms of Use.

Score Points Rules

SCORE POINTS are one of the ways that Shoprizer rewards you for the proper activities you conduct online. These rules are part of and an addition to the Terms of Use and, as such, you understand and agree that SCORE POINTS and any receipt, use or other activity involving SCORE POINTS are subject to your compliance with the Terms of Use, including these SCORE POINTS Rules, and any other rules and requirements Shoprizer may impose now or in the future.

1. SCORE POINTS may be awarded for certain purchases, participation in site activities, and as otherwise determined by Shoprizer, as specified at the score menu at http://www.Shoprizer.com/.

2. SCORE POINTS may only be redeemed or used at http://www.Shoprizer.com/ or as otherwise specifically directed and authorized by Shoprizer for merchandise, services, benefits, or experiences, which, in turn, are subject to availability and to change or elimination at any time without notice. All such redeeming or use of SCORE POINTS also must be in accordance with any specific SCORE POINTS offer.

3. Shoprizer may, without notice and in its sole discretion, alter, limit, or modify program rules, terms and conditions, restrictions, regulations, SCORE POINTS earning structure or levels, SCORE POINTS redemption structure or levels, or any other feature of the SCORE POINTS program at any time, including without limitation, terminating or suspending the SCORE POINTS program.

4. Members may only earn and use SCORE POINTS via one membership account. The creation of multiple membership accounts by or for one individual, the transfer or sale of any such accounts, and the use of SCORE POINTS earned by or awarded to such accounts is prohibited. Shoprizer reserves the right to void the membership and/or any membership privileges or benefits of any person(s) who have wrongfully earned SCORE POINTS (whether by circumvention, transfer, purchase, deception, forgery, fraud, or otherwise), or have breached these SCORE POINTS Program Rules or the Website Terms of Use.

5. Only the individual member who makes the purchase or engages in the SCORE POINTS generating activity may earn and use SCORE POINTS. SCORE POINTS are not transferable from one Shoprizer account to another. SCORE POINTS may not be reproduced, are not redeemable for cash, and are good for one time use only. SCORE POINTS will be deducted from the member s account at the time of commitments or redemption use.

6. Credits for merchandise returns and other financial adjustments made by Shoprizer will be deducted from or added to the SCORE POINTS balance as applicable and as determined by Shoprizer in its sole and reasonable discretion.

7. Members are solely responsible for determination and payment of any tax or other fees, duties, service charges or liability arising out of earning, redeeming, or any other use of SCORE POINTS.

8. Members are subject to and shall comply with any additional terms, conditions and restrictions that apply to any acquisition, redemption or other use of SCORE POINTS.

9. SCORE POINTS may be redeemed immediately or accrued over time, up to a maximum of 12 months. SCORE POINTS will expire on a rolling monthly basis if not redeemed within 12 months unless otherwise extended by Shoprizer at its sole discretion.

10. Shoprizer has absolute discretion with respect to how SCORE POINTS are earned and how SCORE POINTS are used. Shoprizer may zero out and/or reduce your SCORE POINTS if Shoprizer becomes aware of any alleged or confirmed violation of the Terms of Use, the SCORE POINTS Program Rules, or any applicable law or regulation, and the final determination with respect to such SCORE POINTS in connection with such alleged or confirmed violation shall be in Shoprizer sole discretion.

11. Violations of these SCORE POINTS Rules may result in loss of membership, permanent or temporary block of access and/or membership to the Website, loss of or reduction of SCORE POINTS, or as otherwise reasonably determined by Shoprizer in its sole discretion.

SHOPRIZER SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGES (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) TO A MEMBER OR ANY THIRD PARTY, INCLUDING FOR PERSONAL INJURY, DEATH OR PROPERTY DAMAGE, ARISING OUT OF OR IN CONNECTION WITH A MEMBER'S REDEMPTION OF SCORE POINTS FOR MERCHANDISE, EXPERIENCES OR OTHERWISE.

Termination

You can cancel your account at any time by contacting Customer Support. We can cancel your account or otherwise refuse service to you at any time for any reason (including repeat infringement). Shoprizer.com may choose to assume that you intended to terminate your account if you do not access it for more than 3 months. Following termination of your account for any reason (including inactivity), (1) at their sole option, Shoprizer.com and its licensees may continue or stop publicly displaying some or all of your content, and (2) all of your existing Score Rate credits automatically expire, and no new credits will accrue.

Other Rules

You agree to comply with all laws and regulations applicable to your access and use of the Shoprizer.com and publishing your content. You may not harvest personal data (including email addresses) from the Shoprizer.com, and specifically you may not use email addresses displayed on our sites to ask users to join or contribute to your services. We have the right to investigate and prosecute violations of any of the above to the fullest extent of the law. We may involve and cooperate with law enforcement authorities in prosecuting users who violate the terms of this Agreement. You acknowledge that Shoprizer.com has no obligation to monitor your access to or use of the Shoprizer.com, but has the right to do so for the purpose of operating the Shoprizer.com, to ensure your compliance with this Agreement, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. Unless we explicitly agree otherwise in writing, you may not use any automated means (such as scripts) to access the Shoprizer.com or collect information from it.

Indemnity

By choosing to use the Shoprizer.com, you agree to indemnify Shoprizer.com, its officers, agents, partners and employees from any and all claims or damage, including reasonable attorney's fees, made by third parties due to or arising out of 1) Content you choose to submit, post or transmit through the Shoprizer.com; 2) your use of or connection to the Shoprizer.com; 3) your violation of the User Agreement; or 4) your violation of any rights of another.

Release

Because we are a venue, in the event that you have a dispute with one or more users (including merchants) of the Shoprizer.com, you, on behalf of yourself (and any of your officers, directors, employees, agents, predecessors, successors and assigns), hereby irrevocably release and discharge Shoprizer.com, our officers, directors, employees, attorneys, predecessors, successors, assigns and agents from, against and in respect of all past, present and future claims, rights, actions, causes of action, suits, indemnification obligations, losses, liabilities, matters, issues, cost and expenses, of any kind or nature whatsoever, including without limitation court costs and attorneys' fees, whether known or unknown, concealed or hidden, fixed or contingent, suspected or unsuspected, in law or in equity, concerning, related to or arising out of any such disputes. To ensure that the release provided in this Agreement is fully enforceable in accordance with its terms, you knowingly and voluntarily waive any protection that you might have in relation to the release set forth in this section by virtue of §1542 of the California Civil Code, which provides: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor." In addition, you hereby knowingly and voluntarily waive any protection that may exist under any comparable or similar statutes or principles of common law applicable in states other than California as it pertains to the enforcement of the release in this section.

Liability Limits

Shoprizer.com AND ITS SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM THE USE OR THE INABILITY TO USE THE SERVICE OR FOR COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES OR RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH THE SERVICE OR RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, USE, DATA OR OTHER INTANGIBLE, EVEN IF Shoprizer.com OR ITS SERVICE PROVIDERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN NO EVENT WILL Shoprizer.com AND ITS SERVICE PROVIDERS EVER BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY CLAIMS, PROCEEDINGS, LIABILITIES, OBLIGATIONS, DAMAGES, LOSSES, AND COSTS, WHETHER IN CONTRACT, TORT OR UNDER OTHER FAULT OR WRONGDOING BY Shoprizer.com OR ITS SERVICE PROVIDERS OR ANY PERSON FOR WHOM EITHER Shoprizer.com OR ITS SERVICE PROVIDERS ARE RESPONSIBLE, IN AN AMOUNT EXCEEDING THE AMOUNT YOU PAID TO Shoprizer.com FOR THE USE OF THE SERVICE WHICH IS THE SUBJECT OF THE CLAIM.

Dispute Resolution

In the event of a dispute, you and Shoprizer.com agree to submit to binding arbitration Governing Law/Arbitration.

This Agreement is governed by Florida law. Any claim arising out of or relating to this Agreement or the Shoprizer.com shall be settled by binding arbitration in Broward County, Florida in accordance with the American Arbitration Association's commercial arbitration rules. Any such claim shall be arbitrated on an individual basis, not consolidated with another party's claim.. Judgment on the arbitration award may be entered into any court with jurisdiction, and the arbitrator's award shall not be appeal able or reviewable except as permitted by Florida law. However at our option, we may bypass arbitration in cases of fraud or other crimes against us, interference with our technical operations or violations of our rights or property.

Integration

This Agreement, Shoprizer Score Rate program and our Privacy Policy (which are incorporated herein by reference) constitute the entire Agreement and supersede any other Agreements or understandings (oral or written) between you and us with respect to their subject matters.

Disclaimer of Warranties

The Shoprizer.com and its services are provided "as is," without express or implied warranty or condition of any kind, and we explicitly disclaim any warranties of merchantability, fitness for a particular purpose, quiet enjoyment or non-infringement. We do not promise or warrant that any aspect of the sites or system will work properly or that the information provided is complete or accurate or will be continuously available. The Shoprizer.com may contain links to third-party websites or resources. You acknowledge and agree that we are not responsible or liable for: (1) the availability or accuracy of such websites or resources; or (2) the content, products or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement of such websites or resources or the content, products or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. Shoprizer.com shall make reasonable efforts to ensure that the Shopping Cart requests are processed accurately and in a timely manner and but we make no representations or warranties regarding the amount of time needed to complete processing, because our Shopping Cart is largely dependent upon many factors outside of our control. Assignment

You agree that this Agreement and all agreements and information incorporated herein may be automatically assigned by Shoprizer.com, in its sole discretion, to a third party. You may not assign your obligations to another entity.

General

This Agreement does not create any agency, partnership, joint venture, employment or franchise relationship. Because you are not an employee, minimum wage laws do not apply to your relationship with the Shoprizer.com. Our failure to act in a particular circumstance does not waive our right to act with respect to that or other circumstances. We shall be excused for any problem due to a factor beyond our control. If any provision of this Agreement is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of the Agreement will remain in full force and effect, and the provision affected will be construed so as to be enforceable to the maximum extent permissible by law. Any waiver of any provision of this Agreement will be effective only if in writing and signed by Shoprizer.com.

We can amend this Agreement either by emailing you about the amended terms, which take effect when we send you the email, or by posting the amended terms on the Shoprizer.com, which take effect when we post them. By continuing to access or use the Shoprizer.com after any such amendment, you agree to be bound by the terms of the amended Agreement. Otherwise, this Agreement may be amended only by a writing physically signed by us.
